Welcome to Financial Suite. These Terms of Service ("Terms", "Agreement") constitute a legally binding contract between you ("User", "Customer", "you", "your") and Financial Suite, Inc. ("Financial Suite", "Company", "we", "us", "our"), a company incorporated in the State of Delaware, United States, operating the website financial-suite.ai and all associated products, services, and applications.

Please read these Terms carefully before accessing or using our Services. By accessing or using any part of the Financial Suite platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our GDPR Compliance Policy, and our Cookie Policy, all of which are incorporated herein by reference.

1. Acceptance of Terms

1.1 Agreement to Terms

By creating an account, subscribing to a plan, accessing or using any of Financial Suite's products or services (collectively, the "Services"), you agree to be bound by these Terms. If you are entering into this Agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity and its affiliates to these Terms, in which case the terms "you" and "your" shall refer to such entity and its affiliates.

1.2 Eligibility

You must be at least 18 years of age and capable of entering into a legally binding agreement to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements. If you are located in the European Union, you confirm that you are of legal age to form a binding contract in your jurisdiction.

1.3 Additional Policies

Certain features of the Services may be subject to additional terms, guidelines, or policies that we may post or provide in connection with those features. All such additional terms are incorporated into these Terms by reference. In the event of a conflict between these Terms and any additional terms, the additional terms shall govern with respect to the specific feature to which they apply.

2. Description of Services

2.1 Overview

Financial Suite is an AI-first fintech software-as-a-service (SaaS) platform that provides AI-powered professional financial analysis tools, reporting, budgeting, forecasting, and business intelligence solutions. Our platform leverages advanced machine learning and artificial intelligence capabilities to deliver intelligent financial insights, automated analysis, and predictive forecasting.

2.2 Product Suite

Financial Suite offers the following products and services, which may be offered individually or as part of bundled subscription plans:

  • Financial Suite (Flagship Product) — A comprehensive AI-powered financial analysis platform with intelligent automation, predictive insights, multi-entity consolidation, and real-time financial reporting. Includes dashboard analytics, automated reconciliation, and AI-driven anomaly detection.
  • ProAnalysis — Advanced AI-driven analytical tools for deep financial insights, automated pattern recognition, trend analysis, scenario modeling, and custom report generation with natural language querying.
  • InvestPlus — AI-enhanced investment project analysis and portfolio management with machine learning-based recommendations, risk assessment, ROI forecasting, and automated due diligence reports.
  • BudgetPlus — Intelligent budgeting and financial planning solution with AI-powered forecasting, variance analysis, rolling forecasts, departmental budget tracking, and collaborative planning tools.
  • BizAnalysis — AI-enabled business intelligence and KPI dashboards with automated anomaly detection, competitive benchmarking, industry-specific metrics, and customizable executive reporting.

2.3 Service Modifications

We reserve the right to modify, update, enhance, or discontinue any aspect of the Services at any time. We will provide reasonable advance notice of any material changes that may adversely affect your use of the Services. We continuously improve our AI models and algorithms, and such improvements are considered part of the normal course of service delivery.

2.4 Third-Party Integrations

The Services may integrate with or allow connections to third-party applications, services, or data sources. Your use of such third-party services is governed by the respective third-party terms and policies. Financial Suite is not responsible for the availability, accuracy, or content of third-party services, and any reliance on such services is at your own risk.

3. Account Registration and Responsibilities

3.1 Account Creation

To access most features of the Services, you must create an account by providing accurate, complete, and current information. You agree to update your account information promptly to keep it accurate, complete, and current. Failure to do so may result in your inability to access the Services or may constitute a breach of these Terms.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your password and any API keys. You agree to:

  • Use a strong, unique password for your Financial Suite account
  • Enable multi-factor authentication (MFA) when available and recommended
  • Not share your account credentials with any third party
  • Immediately notify Financial Suite at legal@financial-suite.ai of any unauthorized access to or use of your account
  • Log out of your account at the end of each session, particularly on shared devices

You are fully responsible for all activities that occur under your account, whether or not authorized by you. Financial Suite shall not be liable for any loss or damage arising from your failure to comply with these security obligations.

3.3 Account Types

Financial Suite offers individual and organizational accounts. Organizational accounts may include multiple user seats, and the account administrator is responsible for managing user access, permissions, and ensuring all users under the organization comply with these Terms.

3.4 Accurate Information

You represent and warrant that all information you provide in connection with your account is truthful, accurate, and complete. We reserve the right to suspend or terminate accounts that contain inaccurate, false, or misleading information.

4. Subscription and Billing

4.1 Subscription Plans

Financial Suite offers multiple subscription tiers designed to serve businesses of varying sizes and needs, including but not limited to Starter, Professional, and Enterprise plans. Each plan provides different levels of access to features, products, user seats, storage, and support. Full details of current plans and pricing are available at financial-suite.ai/pricing.

4.2 Payment Processing

All payments are processed securely through Stripe, our third-party payment processor. By subscribing to a paid plan, you authorize Financial Suite and Stripe to charge your designated payment method for the applicable subscription fees. All payment transactions are encrypted and processed in compliance with the Payment Card Industry Data Security Standard (PCI DSS). You agree to Stripe's terms of service in connection with payment processing.

4.3 Billing Cycles

Subscriptions are billed either on a monthly or annual basis, as selected by you at the time of subscription. Annual subscriptions are billed in a single upfront payment for the full year. Billing cycles begin on the date of your initial subscription purchase and recur on the same date in each subsequent billing period.

4.4 Pricing and Fees

All prices are displayed in Euros (EUR) unless otherwise stated, and are exclusive of applicable value-added tax (VAT) and other taxes, which will be added where required by law. We reserve the right to change our pricing at any time, provided that any price increase for existing subscribers shall not take effect until the end of the then-current billing period, and we shall notify you at least thirty (30) days in advance of any such change.

4.5 Automatic Renewal

Unless you cancel your subscription before the end of the current billing period, your subscription will automatically renew for an additional period of the same duration (monthly or annual) at the then-current rate. You authorize us to charge your payment method on file for each renewal period.

4.6 Cancellation

You may cancel your subscription at any time through your account dashboard or by contacting our support team. Upon cancellation:

  • Your subscription will remain active until the end of the current billing period for which you have already paid
  • You will retain access to all Services and features until the end of the paid period
  • No further charges will be made to your payment method after cancellation
  • Your account will be downgraded to a free tier (if available) or deactivated at the end of the billing period
  • You may export your data prior to the end of your billing period in accordance with Section 7

4.7 Refund Policy

Financial Suite offers a limited refund policy under the following conditions:

  • Monthly Subscriptions: If you cancel within the first fourteen (14) days of your initial subscription (or within 14 days of an upgrade), you may request a full refund of the current billing period. After this 14-day window, no refunds will be issued for monthly subscriptions.
  • Annual Subscriptions: If you cancel within the first thirty (30) days of your initial annual subscription, you may request a full refund. After this 30-day window, no refunds will be issued for the remainder of the annual term. This refund right also applies in accordance with the European Union's consumer protection directives regarding the right of withdrawal.
  • Service Credits: In the event of documented service outages that breach our SLA (Section 10), service credits may be issued at our discretion in lieu of monetary refunds.

Refund requests must be submitted in writing to legal@financial-suite.ai. Approved refunds will be processed to the original payment method within ten (10) business days.

4.8 Failed Payments

If a payment fails, we will notify you and attempt to process the payment again. If the payment remains unsuccessful after three (3) attempts over a period of fifteen (15) days, we reserve the right to suspend or downgrade your account until the outstanding balance is resolved.

5. Free Trials and Demos

5.1 Free Trial

Financial Suite may offer a free trial period for new users, allowing you to evaluate the Services before committing to a paid subscription. The duration and scope of the free trial will be specified at the time of enrollment. During the free trial, you will have access to the features and products described in the trial offer.

5.2 Trial Conditions

Free trials are limited to one per individual or organization. We reserve the right to determine trial eligibility and to terminate or modify any free trial at our discretion. Creating multiple accounts to obtain additional trial periods is a violation of these Terms and may result in account suspension.

5.3 Conversion to Paid Subscription

At the end of the free trial period, your account will be converted to a paid subscription at the plan and pricing selected during or after the trial, unless you cancel before the trial expires. We will send a reminder notification at least three (3) days before the trial period ends. If a payment method was provided at trial enrollment, you authorize us to charge that payment method upon conversion.

5.4 Product Demos

We may offer live or interactive product demos upon request. Demo sessions are provided for evaluation purposes only and do not constitute a commitment by Financial Suite to provide specific features, pricing, or service levels. Any data entered during a demo may not be preserved and should not be relied upon for production use.

6. Intellectual Property Rights

6.1 Ownership of Services

The Services, including all software, source code, algorithms, AI models, machine learning systems, user interfaces, designs, graphics, text, documentation, APIs, and all other components thereof, are and shall remain the exclusive property of Financial Suite and its licensors. The Services are protected by copyright, trademark, patent, trade secret, and other intellectual property laws of the United States and international treaties.

6.2 License Grant

Subject to your compliance with these Terms and payment of applicable fees, Financial Suite grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services during the term of your subscription solely for your internal business purposes. This license does not include the right to:

  • Copy, modify, adapt, translate, or create derivative works of the Services
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the Services
  • Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Services to any third party
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Services
  • Use the Services to build a competing product or service
  • Access the Services for benchmarking or competitive analysis purposes

6.3 Trademarks

"Financial Suite", the Financial Suite logo, "ProAnalysis", "InvestPlus", "BudgetPlus", "BizAnalysis", and all related names, logos, product and service names, designs, and slogans are trademarks of Financial Suite or its affiliates. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans appearing on the Services are the trademarks of their respective owners.

6.4 Feedback

If you provide Financial Suite with any suggestions, ideas, enhancement requests, feedback, recommendations, or other information relating to the Services ("Feedback"), you hereby assign to Financial Suite all rights, title, and interest in and to such Feedback. Financial Suite shall be free to use, incorporate, and commercialize any Feedback without restriction, attribution, or compensation to you.

7. User Content and Data

7.1 Ownership of Your Data

You retain all ownership rights in and to any data, files, documents, financial records, reports, and other content that you upload, input, or otherwise transmit to or through the Services ("Customer Data"). Nothing in these Terms shall be construed to transfer any ownership of Customer Data from you to Financial Suite.

7.2 License to Use Customer Data

By using the Services, you grant Financial Suite a limited, non-exclusive, worldwide license to access, use, process, store, and transmit your Customer Data solely as necessary to provide, maintain, and improve the Services, and as otherwise described in our Privacy Policy. This license terminates when your Customer Data is deleted from our systems.

7.3 Data Processing

Financial Suite processes Customer Data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR). For detailed information about how we collect, process, and protect your personal data, please refer to our Privacy Policy and GDPR Compliance Policy. Where required, we will enter into a Data Processing Agreement (DPA) with you in accordance with Article 28 of the GDPR.

7.4 Aggregated and Anonymized Data

We may create aggregated, anonymized, or de-identified data derived from Customer Data ("Aggregated Data") that does not identify you or any individual. Financial Suite may use Aggregated Data for purposes including but not limited to improving the Services, developing new features, conducting research, and generating industry benchmarks. Aggregated Data is not considered Customer Data and is owned by Financial Suite.

7.5 Data Portability and Export

You may export your Customer Data at any time during your active subscription using the export tools provided within the Services. Upon termination or expiration of your subscription, we will make your Customer Data available for export for a period of thirty (30) days, after which we may delete your Customer Data from our active systems. Backup copies may be retained in accordance with our data retention policies and legal obligations as described in our Privacy Policy.

7.6 Data Security

Financial Suite implements industry-standard technical and organizational security measures to protect Customer Data, including encryption at rest and in transit (TLS 1.2 or higher), access controls, regular security audits, and intrusion detection systems. However, no method of electronic storage or transmission is entirely secure, and we cannot guarantee absolute security. For more details on our security practices, please refer to our Privacy Policy.

7.7 Your Responsibilities Regarding Data

You are solely responsible for the accuracy, quality, integrity, legality, and appropriateness of all Customer Data. You represent and warrant that you have all necessary rights, consents, and permissions to provide Customer Data to Financial Suite and to authorize its processing as described in these Terms. You shall not upload any data that violates applicable laws, infringes third-party rights, or contains malicious code.

8. Acceptable Use Policy

8.1 Prohibited Activities

You agree not to use the Services in any manner that:

  • Violates any applicable local, national, or international law or regulation, including but not limited to anti-money laundering (AML) laws, sanctions regulations, and financial services regulations
  • Infringes upon the intellectual property rights, privacy rights, or other rights of any third party
  • Transmits any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Uploads or transmits viruses, malware, ransomware, trojans, worms, or any other malicious or harmful code
  • Interferes with, disrupts, or places an unreasonable burden on the Services, servers, or networks connected to the Services
  • Attempts to gain unauthorized access to the Services, other user accounts, computer systems, or networks connected to the Services through hacking, password mining, brute force, or any other means
  • Uses the Services for fraudulent purposes, including money laundering, terrorist financing, tax evasion, or any other financial crime
  • Scrapes, crawls, or uses automated tools to extract data from the Services beyond what is permitted through our API
  • Resells, redistributes, or provides access to the Services to unauthorized third parties
  • Uses the Services to develop a product or service that competes with Financial Suite
  • Impersonates any person or entity, or falsely states or otherwise misrepresents your affiliation with any person or entity
  • Circumvents or attempts to circumvent any security measures, access controls, usage limits, or technological protection measures of the Services
  • Uses the AI-powered features of the Services to generate misleading or fraudulent financial reports, analyses, or recommendations

8.2 Enforcement

Financial Suite reserves the right to investigate and take appropriate action against anyone who, in Financial Suite's sole discretion, violates this Section, including without limitation: issuing warnings, suspending or terminating the offending user's account, removing prohibited content, and reporting violations to law enforcement authorities where appropriate.

8.3 Reporting Violations

If you become aware of any violation of this Acceptable Use Policy, please report it promptly to legal@financial-suite.ai.

9. API Usage

9.1 API Access

Financial Suite may provide application programming interfaces (APIs) that allow you to access and integrate the Services with your own systems and third-party applications. API access is subject to these Terms, any applicable API documentation, and any additional API-specific terms that we may provide.

9.2 API Keys

To use our APIs, you must obtain valid API keys through your account. API keys are confidential credentials and must be treated with the same level of security as your account password. You are responsible for all API activity that occurs using your keys and must not share, publish, or embed API keys in publicly accessible code repositories or client-side applications.

9.3 Rate Limits

API usage is subject to rate limits that vary by subscription plan. These limits are designed to ensure fair usage and service stability for all users. Current rate limits are documented in our API Reference. Exceeding rate limits may result in throttled responses (HTTP 429 status codes) or temporary suspension of API access. If you require higher rate limits, please contact our sales team to discuss Enterprise-level arrangements.

9.4 API Changes

We may update, modify, or deprecate APIs from time to time. We will provide reasonable advance notice of material API changes and maintain deprecated API versions for a minimum of six (6) months to allow for migration. You are responsible for ensuring your integrations are compatible with current API versions.

9.5 Restrictions

You may not use the API to:

  • Exceed the usage quotas and rate limits applicable to your subscription tier
  • Build applications that replicate the core functionality of Financial Suite's products
  • Store or cache API responses beyond the scope permitted in the API documentation
  • Access the API from applications that do not comply with these Terms or applicable law
  • Overload, impair, or disrupt the API infrastructure or other users' access

10. Availability and Support

10.1 Service Level Agreement (SLA)

Financial Suite commits to maintaining a service availability of 99.9% uptime for the platform, measured on a monthly basis, excluding scheduled maintenance windows ("SLA"). This SLA applies to the core Services accessible via the web application and API. The SLA does not cover:

  • Scheduled maintenance performed during announced maintenance windows (typically Sundays 02:00-06:00 UTC)
  • Force majeure events, including natural disasters, pandemics, government actions, wars, or other events beyond our reasonable control
  • Issues caused by your equipment, software, network connections, or actions
  • Third-party service outages (e.g., cloud infrastructure providers, payment processors)
  • Periods of suspension resulting from your breach of these Terms

10.2 Service Credits

If we fail to meet the 99.9% uptime commitment in a given calendar month, affected customers on paid plans may be eligible for service credits as follows:

  • 99.0% - 99.9% uptime: Credit of 10% of monthly subscription fee
  • 95.0% - 99.0% uptime: Credit of 25% of monthly subscription fee
  • Below 95.0% uptime: Credit of 50% of monthly subscription fee

Service credit requests must be submitted within thirty (30) days of the incident. Credits are applied to future billing cycles and do not constitute a cash refund. Total service credits in any billing period shall not exceed 50% of the fees paid for that period.

10.3 Customer Support

Financial Suite provides customer support based on your subscription tier:

  • Starter: Email support during business hours (Monday-Friday, 09:00-18:00 WET/WEST), with a response target of two (2) business days
  • Professional: Priority email and chat support during extended hours (Monday-Friday, 08:00-22:00 WET/WEST), with a response target of four (4) business hours
  • Enterprise: 24/7 dedicated support with a designated account manager, phone support, and a response target of one (1) hour for critical issues

10.4 Maintenance

We perform regular maintenance to ensure optimal performance and security of the Services. Scheduled maintenance will be communicated at least forty-eight (48) hours in advance via email and our status page. Emergency maintenance necessary to address security vulnerabilities or critical issues may be performed without advance notice, and we will notify affected users as soon as reasonably practicable.

11. Limitation of Liability

11.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FINANCIAL SUITE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, exemplary, or punitive damages
  • Loss of profits, revenue, business, savings, goodwill, or anticipated savings
  • Loss of data or data corruption (except to the extent caused by our gross negligence)
  • Business interruption or loss of business opportunity
  • Cost of procurement of substitute goods or services

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT FINANCIAL SUITE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FINANCIAL SUITE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT OF FEES PAID BY YOU TO FINANCIAL SUITE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED EUROS (EUR 100).

11.3 Basis of the Bargain

The limitations of liability set forth in this Section reflect the allocation of risk between the parties and are an essential element of the basis of the bargain between the parties. The Services would not be provided without such limitations, and you acknowledge that such limitations shall apply notwithstanding the failure of any essential purpose of any limited remedy.

11.4 Exceptions

Nothing in these Terms shall limit or exclude liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be limited or excluded under applicable law, including mandatory consumer protection provisions under EU law; or (d) Financial Suite's obligations under data protection legislation, including the GDPR.

12. Warranty Disclaimer

12.1 "As Is" Provision

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FINANCIAL SUITE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

12.2 No Guarantee

Financial Suite does not warrant that:

  • The Services will meet your specific requirements or expectations
  • The Services will be uninterrupted, timely, secure, or error-free
  • The results obtained from the use of the Services, including AI-generated analyses, forecasts, and recommendations, will be accurate, reliable, or complete
  • Any errors or defects in the Services will be corrected within a specific timeframe
  • The Services will be compatible with all hardware, software, or network configurations

12.3 AI-Generated Content Disclaimer

The AI-powered features of the Services generate analyses, forecasts, insights, and recommendations based on the data provided and our algorithms. These outputs are intended as decision-support tools and should not be treated as professional financial, legal, tax, or investment advice. You are solely responsible for evaluating and making decisions based on AI-generated content. Financial Suite recommends that significant financial decisions be reviewed by qualified professionals.

12.4 Statutory Rights

This disclaimer does not affect any mandatory statutory rights that may apply to you under EU consumer protection laws. If you are a consumer in the European Union, you may have statutory warranty rights that cannot be excluded or limited by contract, and those rights remain unaffected by this Section.

13. Indemnification

13.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Financial Suite, its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or in connection with:

  • Your use or misuse of the Services
  • Your violation of these Terms or any applicable law or regulation
  • Your Customer Data, including any claim that your Customer Data infringes or violates any third party's intellectual property, privacy, or other rights
  • Any dispute between you and a third party arising from your use of the Services
  • Your failure to comply with applicable data protection laws in connection with the Customer Data you provide to the Services

13.2 Indemnification Procedure

Financial Suite will promptly notify you of any claim subject to indemnification and provide reasonable cooperation at your expense. Financial Suite reserves the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with Financial Suite in asserting any available defenses. You shall not settle any claim without Financial Suite's prior written consent.

14. Termination

14.1 Termination by You

You may terminate your account and these Terms at any time by canceling your subscription through your account settings and submitting an account deletion request. Cancellation of a paid subscription is subject to the provisions in Section 4.6. Account deletion requests will be processed within thirty (30) days.

14.2 Termination by Financial Suite

Financial Suite may suspend or terminate your account and access to the Services, in whole or in part, at any time, with or without notice, for any of the following reasons:

  • Breach of these Terms, including the Acceptable Use Policy (Section 8)
  • Non-payment of applicable fees after the grace period described in Section 4.8
  • Fraudulent, abusive, or illegal activity on your account
  • Extended period of inactivity (twelve (12) months or more on free accounts)
  • Upon request by law enforcement or government authorities in accordance with applicable law
  • If we reasonably believe that your account poses a security risk to the Services or other users
  • Discontinuation of the Services or any material part thereof, with at least ninety (90) days' prior notice

14.3 Effects of Termination

Upon termination of your account for any reason:

  • Your right to access and use the Services will immediately cease, except as provided below
  • You will have a thirty (30) day grace period to export your Customer Data, unless termination was due to a material breach, fraud, or illegal activity
  • Any outstanding fees owed to Financial Suite shall become immediately due and payable
  • We will delete your Customer Data from our active systems within ninety (90) days of the termination effective date, subject to our legal data retention obligations
  • Provisions that by their nature should survive termination shall survive, including but not limited to Sections 6 (Intellectual Property), 7.4 (Aggregated Data), 11 (Limitation of Liability), 12 (Warranty Disclaimer), 13 (Indemnification), 15 (Governing Law), and 16 (Dispute Resolution)

14.4 No Liability for Termination

Financial Suite shall not be liable to you or any third party for any termination of your access to the Services conducted in accordance with these Terms.

15. Governing Law and Jurisdiction

15.1 Governing Law

These Terms and any dispute arising out of or in connection with them (including any non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

15.2 EU Regulations

Where applicable, these Terms are also subject to directly applicable regulations of the European Union, including but not limited to:

  • The General Data Protection Regulation (GDPR) — Regulation (EU) 2016/679 — regarding the processing and protection of personal data. See our GDPR Compliance Policy for details.
  • The ePrivacy Directive (Directive 2002/58/EC, as amended) — regarding electronic communications and cookies. See our Cookie Policy for details.
  • The Consumer Rights Directive (Directive 2011/83/EU) — regarding consumer protection for distance and off-premises contracts
  • The Digital Services Act (Regulation (EU) 2022/2065) and the Digital Markets Act (Regulation (EU) 2022/1925), to the extent applicable
  • The EU AI Act (Regulation (EU) 2024/1689), to the extent applicable to our AI-powered features

15.3 Jurisdiction

The state and federal courts located in Wilmington, Delaware, United States shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms. Notwithstanding the foregoing, if you are a consumer within the meaning of EU consumer protection law, you may also bring proceedings in the courts of your country of residence, and nothing in these Terms shall deprive you of the protection afforded by the mandatory provisions of the law of your country of habitual residence.

15.4 EU Online Dispute Resolution

In accordance with Regulation (EU) No 524/2013, consumers residing in the European Union may use the European Commission's Online Dispute Resolution (ODR) platform to seek resolution of disputes arising from online service contracts. The ODR platform is accessible at https://ec.europa.eu/consumers/odr.

16. Dispute Resolution

16.1 Informal Resolution

Before initiating any formal dispute resolution proceedings, the parties agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms ("Dispute") through good-faith negotiation. The aggrieved party shall send a written notice describing the Dispute to the other party, and both parties shall use reasonable efforts to resolve the Dispute within thirty (30) days of receipt of such notice.

16.2 Mediation

If the Dispute cannot be resolved through negotiation within the thirty (30) day period, either party may submit the Dispute to mediation administered by a qualified mediator agreed upon by both parties, or if the parties cannot agree, by a mediator appointed in accordance with the mediation rules of the American Arbitration Association (AAA). The mediation shall take place in Wilmington, Delaware, and shall be conducted in English. The costs of mediation shall be borne equally by both parties.

16.3 Litigation

If the Dispute is not resolved through mediation within sixty (60) days of the mediation request (or such longer period as mutually agreed), either party may bring proceedings before the state and federal courts located in Wilmington, Delaware, in accordance with Section 15.3. The prevailing party in any litigation shall be entitled to recover its reasonable attorneys' fees and costs from the non-prevailing party, to the extent permitted by applicable law.

16.4 Injunctive Relief

Notwithstanding the foregoing, nothing in this Section shall prevent either party from seeking injunctive relief or other equitable remedies from any court of competent jurisdiction to protect its intellectual property rights or confidential information, without the requirement to first exhaust the negotiation and mediation procedures described above.

17. Changes to Terms

17.1 Right to Modify

Financial Suite reserves the right to modify, amend, or update these Terms at any time at our sole discretion. We may make changes to reflect new features, changes in applicable law, improvements to our Services, or for other valid business reasons.

17.2 Notice of Changes

We will provide at least thirty (30) days' advance notice before any material changes to these Terms take effect. Notice will be provided through one or more of the following methods:

  • Email notification to the address associated with your account
  • A prominent notice posted within the Services (e.g., a banner in your account dashboard)
  • An update to the "Effective Date" at the top of these Terms, with a summary of changes

17.3 Acceptance of Changes

Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must stop using the Services and may cancel your subscription in accordance with Section 4.6. For material changes that adversely affect your rights, you will be given the opportunity to accept or reject the updated Terms. If you reject the updated Terms, your account will continue under the previous version of the Terms until the end of your current billing period, after which it will be terminated if you have not accepted the new Terms.

17.4 Minor Changes

Minor, non-substantive changes (such as correcting typographical errors or updating contact information) may be made without advance notice. We will update the effective date of these Terms when any changes are made.

18. Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent, or if modification is not possible, it shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions of these Terms, which shall continue in full force and effect.

If any provision of these Terms is found to be overly broad in scope, duration, or area of applicability, such provision shall be construed by limiting and reducing it so as to be enforceable to the maximum extent permitted by applicable law.

19. Entire Agreement

These Terms, together with the Privacy Policy, GDPR Compliance Policy, Cookie Policy, and any applicable Order Forms, Service Level Agreements, Data Processing Agreements, or additional terms referenced herein, constitute the entire agreement between you and Financial Suite with respect to the subject matter hereof. These Terms supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether oral or written, relating to the subject matter hereof.

No waiver of any provision of these Terms by Financial Suite shall be deemed a further or continuing waiver of such provision or a waiver of any other provision. Financial Suite's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Headings in these Terms are for reference purposes only and shall not affect the interpretation of these Terms. The words "include", "includes", and "including" shall be deemed to be followed by "without limitation". These Terms may be available in multiple languages for convenience, but in the event of a conflict between the English version and any translated version, the English version shall prevail.
